About
How FoundryCounsel works
FoundryCounsel is a free matching service for US business owners who need help from a licensed business-law attorney. You tell us what kind of help you need, we try to match you with attorneys who handle that type of work, and you decide whether to hire anyone.
What stage you are at, the legal help you need, your state, and how to reach you. A short description and contact details only — never SSN, ITIN, financial accounts, or confidential business information.
We connect you with licensed business-law attorneys who handle your issue, work in your state, and can support your language, at no cost to you.
Ask each attorney about their experience, scope, and flat fee. Get the fee and what it covers in an engagement letter. The lowest number is not always the full picture.
You decide which attorney to work with, if any. Confirm the flat fee and scope in writing before any work starts — and remember no honest attorney guarantees an outcome.
The 4-step process
Getting started is simple.
1. Tell us what you need. Share your contact details and a short description of the business-law issue. For example, you may need help forming an LLC, which is a limited liability company, reviewing a contract, or checking state filing rules. Please do not send sensitive information through a form, such as your Social Security number, Individual Taxpayer Identification Number, Employer Identification Number, immigration status, bank account numbers, or confidential business secrets.
2. We try to match you for free. FoundryCounsel is not a law firm and does not give legal advice. We are a free educational and matching service. Based on the information you provide, we try to connect you with licensed business-law attorneys who may handle that type of matter.
3. Compare flat-fee quotes. If an attorney is interested and your matter is a fit, you may receive a flat-fee quote for the legal work. A flat fee means one set price for a defined service, rather than billing by the hour. Costs depend on the state and the scope of the work, so any ranges you see are general ranges, not quotes.
4. You choose who to hire. You can compare your options, ask questions, and decide whether to hire an attorney. You are never required to hire anyone through FoundryCounsel.
What FoundryCounsel does and does not do
We help business owners find lawyers for common business-law needs, including business entity formation, contracts and agreements, partnership and founder agreements, commercial leases and real estate, and business compliance and licensing.
What we do:
- Provide general educational information
- Help you describe your issue in plain language
- Try to match you with licensed business-law attorneys
- Let you compare options and decide what to do next
What we do not do:
- We do not act as your lawyer
- We do not give legal advice
- We do not file forms for you
- We do not guarantee any outcome, approval, or registration
- We do not create an attorney-client relationship
For legal advice about your specific situation, you should speak directly with a licensed attorney. For government filing rules and requirements, check the official agency involved, such as the Secretary of State, IRS.gov, or USPTO.gov.
How attorneys pay to participate
FoundryCounsel is free for business owners using the service.
Participating attorneys pay FoundryCounsel a flat marketing fee to be part of the platform. That fee is not a share of the attorney's legal fees. We do not take a percentage of what the attorney charges you.
This matters because it keeps the pricing model simple. The legal fee you discuss with an attorney is between you and that attorney. Before hiring anyone, ask what is included in the flat fee, what is not included, and whether any state filing fees or government fees are separate.
What information to share when you request a match
The best request is short and specific. Include your name, how to contact you, the state connected to your business issue, and a simple description of what you need help with.
Examples:
- "I need help forming an LLC in Texas for an online store."
- "I need a lawyer to review a service contract for my New York consulting business."
- "My co-founder and I need a founder agreement for a California software company."
If you are not sure what type of help you need, that is okay. You can still get matched and describe the problem in plain language. You can also read more in our guides or see the full list of services.
You tell us your business-law problem, we try to connect you with lawyers for free, and you decide if you want to hire one.
Common questions
Is FoundryCounsel a law firm?
No. FoundryCounsel is not a law firm and does not provide legal advice. It is a free matching service that helps business owners connect with licensed business-law attorneys.
Do I have to pay to use FoundryCounsel?
No. The matching service is free for business owners. If you decide to hire an attorney, you would pay that attorney directly under the terms you agree on with them.
What kinds of business-law issues can I get matched for?
Common topics include forming a business, contracts, founder or partnership agreements, leases, compliance, and licensing. If you are unsure, send a short description of the issue and we will try to match you based on the information you provide.
What should I avoid sending through the form?
Do not send sensitive personal, tax, banking, immigration, or highly confidential business information through the form. Your contact details and a short summary of the legal need are enough to get started.
Will I definitely be matched or get my business approved or registered?
No. Matching depends on attorney availability and fit, and no one can promise a business filing, approval, or registration result. For final requirements, check the Secretary of State, IRS.gov, USPTO.gov, and a licensed attorney.
